Guerbet To Sell Its Urological Imaging Systems Business Assets To Del Medical

Transaction aligns with Guerbet’s strategic focus as a global leader in Diagnostic Imaging, and its stated plan to invest in leveraging its core assets, and enables further growth for Del Medical.

Villepinte, and Bloomingdale, IL., July 22^nd, 2024: Guerbet (FR0000032526 GBT), and Del Medical, global leaders in Medical Imaging, announced today that they have entered into an agreement under which Guerbet will sell its Urological Imaging Systems Business assets to Del Medical.

The Hydra Vision™ Digital Imaging System urology table is the key product line acquired and is a natural fit with Del Medical’s core business and expertise in radiographic systems.  Del Medical has plans to invest using its engineering and manufacturing expertise to continue improvements to this product line and has the experience and skills to support existing and new customers.

Guerbet’s decision to sell the assets of the former Liebel-Flarsheim urological imaging business is consistent with the company's stated plan to strategically focus and invest resources to leverage its core assets. The decision was made following a thorough evaluation of strategic alternatives, and the company believes this is in the best interest of both shareholders and the hospitals, centers, and patients served by this business.

Guerbet acquired Liebel-Flarsheim’s Urology Imaging Systems business as part of its purchase of Mallinckrodt’s Contrast Media and Delivery Systems (CMDS) business announced on November 27, 2015. The assets include the Hydra Vision™ Digital Imaging System urology table, accessories, consumables, servicing and parts. Since its acquisition in 2015, a new real-time digital X-ray imaging device was successfully launch in 2018: the L-F Hydra Vision™ Digital Imaging System.

The transaction is subject to customary closing conditions and is expected to sign and close simultaneously. As a result of the transaction, the assets of the Urological Imaging Systems Business will no longer be manufactured by Cincinnati, OH-based Liebel-Flarsheim Company LLC, but instead by Del Medical in their Bloomingdale, Illinois facility.

The transaction includes a Transitional Services period to ensure successful transfer of assets and technology, manufacturing know-how, and the customer base to Del Medical. There is minimal expected impact to workforce, and no facilities are included in the transaction.

The Hydra Vision™ Digital Imaging System is a solid-state detector X-ray system that facilitates digital radiologic and/or fluoroscopic procedures requiring a beam of diagnostic quality radiation and a flat imaging table primarily for urological applications such as functional X-ray diagnostics, endourology and minimal invasive urology/ surgery.
